The terms that govern an engagement between a client and XONIK Technologies Pvt. Ltd., alongside the statement of work for that engagement.

Summary
Every engagement is scoped in writing before work starts, is under NDA, and is carried out by senior people. The statement of work says what is included, what is not, who decides and what done means. These terms cover everything the statement of work does not.
What these terms cover
These terms apply to consulting, advisory, research and product development work that XONIK Technologies Pvt. Ltd., 3/3B, Saket Nagar, Bhopal, Madhya Pradesh 462024, India ("XONIK") carries out for a client. They apply together with the written statement of work agreed for each engagement. They do not govern the use of this website, which is covered by the Acceptable Use Policy and the Disclaimer.
How an engagement is agreed
An engagement starts with a conversation about the problem. If the problem is not yet clear, a short diagnosis comes first. The statement of work is written only after that, and it states what is included, what is not, who decides, how both sides will know the work is done, and who from each side is responsible for what. Work begins when both sides have agreed it in writing. A change to the scope is agreed in writing before work on the change begins.
Confidentiality
Every engagement is under a non-disclosure agreement. XONIK keeps client information confidential, uses it only for the engagement, and asks only for the access the work needs. XONIK does not name a client, or describe a client's work in a way that identifies it, in anything it publishes. Published research and tools do not draw on a client's material without the client's written agreement.
Delivery and acceptance
The statement of work sets the deliverables and, where they are used, the milestones. It also sets the acceptance criteria that tell both sides the work is done. XONIK reports progress against the scope and records decisions as they are made. Delivery depends on the client providing the access, information and decisions the statement of work names.
Service levels
XONIK states no standard service levels on this website. Any response times, support hours or availability commitments that apply to an engagement are written into its statement of work, and only those apply. A figure mentioned in a conversation or a proposal is not a commitment until it is in the statement of work. A client that needs a commitment of this kind should ask for it in the scope, where both sides can read it and agree it before work starts.
Fees and payment
Fees are set in the statement of work. This website states no prices. The statement of work says how fees are calculated, in which currency, when invoices are issued and when they fall due, and how expenses are handled. A change in scope that changes the work is priced and agreed in writing before work on the change begins.
Ownership of the work
Ownership is addressed in each statement of work and explained in the Copyright and Intellectual Property policy. The client reviews the ownership terms with its own counsel before work begins. For each deliverable the statement of work records who owns it and on what terms it may be used, and it names any material that XONIK brings to the engagement and keeps.
No guarantee of outcomes, and liability
XONIK works to the scope and to a professional standard. It does not guarantee financial returns, AI results, rankings, citations or any other business outcome, because those depend on things outside its control. Acceptance criteria in the statement of work are the measurable commitments. Where a client wants a result to be measurable, the measure is written into the acceptance criteria, so that the question is answered by the agreed test and not by hindsight.
Ending an engagement
The statement of work says how an engagement can end and what is paid for if it does. Either side can raise an ending in writing. When an engagement ends, XONIK hands over the work completed to that point and the ownership pack for what it touched, the client's information is returned or deleted as the statement of work provides, and the duty of confidentiality continues.
